Terms of Use
The short version. Screen-Plai is a vetted, invitation-only marketplace for film IP.
Writers keep ownership of their scripts until they sell or license them, and they promise they own what they upload.
Buyers promise to keep what they read confidential and to do deals through us.
Each deal is governed by its own deal contract and the writer's Pre-Authorisation Agreement. These Terms cover everything else.

1. About these Terms
- Screen-Plai (screen-plai.com) is run by [COMPANY LEGAL NAME], registered in [COUNTRY] under number [KRS / COMPANY NUMBER], at [REGISTERED ADDRESS] ("Screen-Plai", "we", "us").
- These Terms apply to anyone who uses the site, applies to join or holds an account ("you"). By applying or using the members' area, you accept them. Our Privacy Policy explains how we handle personal data.
- Some things have their own contract. A writer's Pre-Authorisation Agreement sets the parameters within which we may close deals on their behalf. Each deal contract (option, purchase, licence, first look, pitch or commission) sets the terms of that deal. If one of those contracts conflicts with these Terms, that contract wins for that subject.
- Screen-Plai is for business use. You must be 18 or over and act for yourself as a professional, or for a company you are authorised to bind. Where you count as a consumer in law, nothing in these Terms takes away rights you cannot lose by contract.
2. Joining and vetting
- Membership is by application. We review every buyer and writer and may approve, turn down or ask for more information at our discretion. We don't have to give reasons.
- We may ask you to pass an identity check run by our provider, Stripe, before you can upload or view scripts. You must give true, current information in your application and keep it up to date.
- Showcase is curated: we choose which writers and scripts to put forward. Applying does not guarantee a place.
3. Your account
- Accounts are personal. Don't share your sign-in, and don't let anyone else use your account, including colleagues. Each person needs their own approved account.
- You are responsible for activity on your account. Tell us at once at support@screen-plai.com if you think someone else has used it.
4. Writers and your scripts
- You keep ownership. Uploading a script does not transfer any rights in it to us or to buyers. Rights pass only under a signed deal contract.
- Your promises. For every script you upload, you promise that:
- you wrote it, or you hold all the rights needed to offer it;
- you have a clean chain of title, and it isn't under option, sold or otherwise committed in a way that conflicts with what you offer on Screen-Plai;
- you have told us about every co-writer, source material and underlying right;
- it doesn't infringe anyone's copyright, trademark, privacy or other rights, and isn't defamatory.
- Permission you give us. You give Screen-Plai a non-exclusive, worldwide, royalty-free permission, for as long as the script is on Screen-Plai, to:
- store, copy and process it;
- have it read by AI to write coverage, a change map and a writing profile, and to answer buyers' questions;
- have the coverage (not the script itself) translated into other languages by AI and checked by our translators, and show those translations to approved buyers;
- show listed scripts, coverage and extracts to approved buyers;
- use the title, logline and coverage to promote the script on and off Screen-Plai, but only with your agreement for anything outside the members' area.
- No AI training. We will not use your scripts to train any AI model, and we don't allow our AI providers to do so.
- Listing. Scripts are seen by buyers only once we list them. If you edit a listed script, it goes back for review. We can unlist any script at any time.
- Marketplace and Showcase. Marketplace listings are non-exclusive. Showcase listings are exclusive to Screen-Plai for the period in your Pre-Authorisation Agreement (normally 12 months, or 24 months in exchange for extra translations). Your Pre-Authorisation Agreement sets out the notice rules for any deal you make outside Screen-Plai.
5. Buyers and confidentiality
- Everything you read on Screen-Plai (scripts, coverage, pitches, ideas, writers' details) is confidential. You may use it only to decide whether to do a deal through Screen-Plai.
- You must not:
- copy, download, screenshot, scrape or record scripts beyond what the site allows;
- share anything you read with anyone outside your approved account, except your own professional advisers who are bound by confidentiality;
- use any script, pitch or idea, or anything substantially similar, without a deal through Screen-Plai.
- Scripts may carry visible or hidden watermarks linked to your account, and we log who opens what. We may use these records to enforce these Terms and may share them with the writer if there is a leak or a dispute.
- These confidentiality duties continue after your account ends.
6. Similar ideas
- Film ideas often overlap. Buyers may already be developing, or later develop, projects that resemble something on Screen-Plai, independently of it. A similar premise, genre, setting or theme is not in itself evidence of copying.
- Writers accept that buyers' existing and independently developed projects are their own. Buyers accept that our access logs and timestamped upload records may be used as evidence of what they saw and when.
- Screen-Plai is not liable for disputes between members about similarity, but we will provide our records where the law allows and the dispute is genuine.
7. Deals
- Deals happen through Screen-Plai, on our deal contracts and within the writer's Pre-Authorisation Agreement. That covers options, purchases, language licences, the 30-day first look, pitches, commissions and Writers' Room work. All deals are logged on the site.
- No going around us. If a buyer and writer met through Screen-Plai, any deal between them for that script or idea, or a follow-on production of it, must go through Screen-Plai. Either party may instead take the relationship off-platform by paying the flat fee in the deal contract (currently $10,000, paid by either party or split).
- Buyers must tell us about follow-on productions (sequels, spin-offs, series) so the agreed payments reach the writer.
- Each party is responsible for what it tells the other, including budgets. Screen-Plai does not verify and is not responsible for a production's budget, financing or whether a film gets made.
8. Fees and payment
- Our fees are shown in the Pricing section of the site and in each deal contract. Generally:
- the buyer pays a buyer fee on top of the deal price, due in full when the deal is signed;
- the writer pays a commission, deducted from what they receive.
- Deal money is held in escrow by our payment provider and released under the deal contract. Payments, payouts and related tax forms are handled by Stripe, and you agree to Stripe's terms for those services.
- Fees exclude VAT and other taxes unless stated. You are responsible for your own taxes.
- We may change our fees for the future. A change never affects a deal already signed.
9. AI coverage
- Coverage, match scores, "What if…?" answers, writing profiles and other AI output are opinions to help you decide. They may be incomplete or wrong.
- AI output is not legal, financial or production advice. Don't rely on it alone when making a deal; read the script and take your own advice.
- Coverage may be shown in other languages. Each translation is labelled "AI translation" or "Checked by a translator". The English coverage is the reference version: if a translation differs from it, the English wins.
- We will not translate a full script, or let anyone else do so through Screen-Plai, without the writer's approval.
10. Rules of the road
You must not:
- upload anything you don't have the rights to, or anything unlawful or malicious;
- harass other members or try to identify members who appear as codes;
- try to get around access controls, test our security without written permission, overload the service, or scrape or copy it with automated tools;
- use Screen-Plai to build a competing service or to train AI;
- misrepresent who you are or who you work for.
11. What we are and aren't
- Screen-Plai runs a marketplace and, where a writer has signed a Pre-Authorisation Agreement, closes deals within the limits the writer has set. We are not your lawyer, and we don't give legal, tax or financial advice.
- We work to keep the service running and secure, but we can't promise it will always be available or error-free. We may change, add or remove features.
12. Copyright complaints
If you believe something on Screen-Plai infringes your rights, email legal@screen-plai.com with:
- the work concerned;
- where it appears on Screen-Plai;
- your contact details;
- a statement that you believe in good faith the use isn't authorised;
- a statement, under penalty of perjury, that your notice is accurate and you are the owner or authorised to act for them;
- your signature.
Our designated agent under the US Digital Millennium Copyright Act is [DMCA AGENT NAME AND ADDRESS].
We will remove or restrict the material while we look into it, and we close the accounts of repeat infringers.
13. Suspension and closing
- You can close your account at any time by emailing us. Deals already signed continue under their own contracts.
- We may suspend or close an account, or remove content, if:
- you break these Terms;
- you fail vetting or verification;
- we must by law;
- we reasonably believe it's needed to protect members or Screen-Plai.
- Sections 4.2, 5, 6, 7.2–7.4, 8, 14, 15 and 16 continue after an account ends.
14. Liability
- Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be limited by law.
- Otherwise, we are not liable for:
- loss of profit, revenue, business, opportunity or goodwill;
- indirect or consequential loss;
- a film not being made;
- what other members do or say.
- Our total liability to you in any 12-month period is limited to the greater of the fees you paid us in that period and $1,000.
- You will cover Screen-Plai's reasonable losses and costs arising from claims by others caused by your breach of these Terms. That includes, for writers, a breach of the promises in 4.2 and, for buyers, a breach of section 5.
15. Law and disputes
- These Terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, unless a deal contract says otherwise for that deal. If you are a consumer, you also keep the protection of the mandatory laws and courts of where you live.
- Before going to court, please email legal@screen-plai.com so we can try to resolve it within 30 days. Either party may still seek urgent court orders, for example to stop a leak.
16. Everything else
- We may update these Terms. We'll give members at least 14 days' notice of important changes, except where a change is needed for legal or security reasons. If you keep using Screen-Plai after a change takes effect, you accept it. If you don't agree, you can close your account.
- If any part of these Terms is found unenforceable, the rest still applies. If we don't enforce a right straight away, we can still enforce it later. You may not transfer your account or these Terms. We may transfer them to a business that takes over Screen-Plai.
- These Terms, the Privacy Policy, the Pre-Authorisation Agreement and your deal contracts are the whole agreement between us about their subjects.
